外国投资者的业务实体类型
希望在菲律宾成立公司的外国实体可以在六种法律实体中选择：
对于寻求建立本地公司的外国投资者：
- 国内公司
- 一人公司
对于寻求在菲律宾扩大业务的现有外国公司：
- 分支机构
- 代表处
- 区域总部（RHQ）
- 区域运营总部（ROHQ）
菲律宾的所有类型的公司都必须先向证券交易委员会（SEC）注册，然后才能开始其业务运营。SEC是负责监管和监督该国现有公司的政府机构。
本地公司和一人公司必须从SEC获得成立证书和注册证书。公司注册证明书是根据菲律宾法律组织和存在的合法公司。注册证书授权其在菲律宾境内和境外从事业务。
寻求在菲律宾开展业务的外国公司在开始运营之前必须先从SEC获得《经营许可证》。
通常，允许外资企业在菲律宾开展业务，但部分或全部由菲律宾企业家独占的投资领域除外。有关限于外国企业的投资领域的完整列表，请单击此处。
另外，现有的外国公司必须任命一名居民代理人，该代理人应收到为其在菲律宾的公司提供的传票和法律诉讼。居民代理人可以是外国人或菲律宾公民。
国内公司
与有限责任公司（LLC）相似，在菲律宾，国内公司（或拥有外资股权的子公司）是最常见的公司类型。它的法人实体与股东分开，并且必须至少有五（5）个公司成立人，这些人必须是具有法定年龄的自然人，并且认购方必须至少拥有公司一（1）股的股份。
这种类型的公司需要从SEC获得成立证书和注册证书。公司注册证明书是根据菲律宾法律组织和存在的合法公司。注册证书授权其在菲律宾境内和境外从事业务。
菲律宾有三种国内公司：
- 100％菲律宾拥有的国内公司
- 60％由菲律宾人拥有和40％外资拥有的国内公司
- 外商独资国内公司的40％至100％
本地公司的最低资本要求将取决于其收入来源，可以是以下任何一种：
- 出口市场企业-如果公司至少60％的收入来自海外，则最低实收资本为100美元。
- 国内市场企业-如果公司收入的40％以上来自菲律宾境内，则最低实收资本为200,000美元。
一人公司
一人公司（OPC）是一种由单一股东组成的公司，该股东也应是唯一的董事和总裁。它提供了对独资企业的完全授权和控制，以及一家国内公司的有限责任，这是有抱负的企业家计划自己经营公司而又不承担承担个人责任和拥有业务伙伴的风险的理想选择。
单一股东（也称为股份有限公司）可以是具有法定年龄的自然人，信托或遗产。根据适用法律，信托不指信托实体，而是指由受托人管理的主体。
与国内公司类似，OPC也需要从SEC获得公司成立证书和注册证书。
外国自然人可以从事OPC，只要他们从事不受外国参与的投资领域。
与其他类型的公司不同，除法律另有规定外，OPC无需拥有最低法定股本。此外，除非适用法律或法规另有规定，否则在注册成立时不需要缴足部分法定资本。
单一股东必须指定一名被提名人和候补被提名人，如果他们死亡或丧失工作能力，则必须在公司章程中注明以替代单一股东。

分支机构
分支机构是一个创收实体，从事其外国母公司在菲律宾的业务活动。它没有与母公司分离的法人实体，其负债由总部在国外产生。
分支机构的最低实收资本为200,000.00美元，但可以减少至以下金额：
- 100,000.00美元（如果它将从事涉及技术的商业活动或雇用至少五十[50]个直接雇员）
- 100.00美元（如果它想成为一个在海外产生收入的出口市场企业）
代表处
代表处是一个非收入产生实体，可以由外国公司以后台或联络中心的形式成立，他们可以委派其管理和技术操作，例如：
- 推广公司服务/产品
- 促进来自国外的客户订单
- 对出口产品进行质量控制
它没有与外国母公司分离的法人实体，其负债由总部在国外产生。作为非创收实体，不得向菲律宾的客户或第三方提供服务。
代表处的最低资本要求为30,000.00美元，该费用应由母公司每年支付，以支付运营费用。
区域总部（RHQ）
与代表处类似，地区总部（RHQ）是非收入产生实体。但是它只能由在全球设有子公司，分支机构和/或分支机构的外国公司设立。它可以以联络中心或后台的形式建立，以监督，检查或协调上述实体的行政职能。
在法律允许的条件下，它可以在菲律宾采购原材料，市场产品，培训员工和/或进行研发。
它没有与母公司分离的法人实体，其负债是由其总部从国外产生的。
根据菲律宾法律，RHQ不允许执行以下操作：
- 为菲律宾的第三方创造收入或提供服务
- 管理其子公司，分支机构和/或分支机构的运营
- 与菲律宾的客户直接交易或开展业务
其母公司不允许通过RHQ办公室销售或销售产品。
设立总部的最低资本要求为50,000.00美元，由母公司每年汇出以支付运营费用。
区域运营总部（ROHQ）
与分支机构相似，区域运营总部（ROHQ）是创收实体，其将外国母公司的业务活动进行到菲律宾。但是它只能由在全球有分支机构，子公司和/或分支机构的外国公司设立。可以以服务中心的形式为母公司拥有的实体设置。
ROHQ的母公司没有独立的法人实体，其负债由其总部从国外承担。
根据菲律宾法律，不得代表其母公司，子公司，分支机构和/或分支机构直接或间接地索取或销售商品/服务。它还禁止向与其关联实体以外的第三方企业提供合格服务。
为了支持其年度运营，母公司必须每年至少汇出200,000美元。
在菲律宾开展业务的优势
